Terms & Conditions

These Terms & Conditions govern all transactions between Vishal Global Exports ("the Company", "we", "us") and any buyer or party engaging our services ("the Buyer").
1. Quotations & Orders
All quotations issued by Vishal Global Exports are valid for the period stated on the document and are subject to change without notice after expiry. An order is confirmed only upon written acceptance and receipt of agreed advance payment.
2. Payment Terms
Payment terms will be specified on each Proforma Invoice or Quotation. Unless otherwise agreed in writing, 100% advance payment by Telegraphic Transfer (T/T) is required prior to shipment. Vishal Global Exports will never request payment to any account other than its officially registered bank account. Any communication requesting payment to a different account should be treated as fraudulent and reported to us immediately.
3. Delivery & Shipment
Delivery timelines provided are estimates and may be affected by factors beyond our control, including but not limited to customs delays, shipping line schedules, and force majeure events. Title to goods remains with Vishal Global Exports until full and final payment has been received and confirmed.
4. Quality & Inspection
All goods are quality-checked prior to shipment. Buyers may arrange independent third-party inspection (SGS, Bureau Veritas, or equivalent) at their own cost prior to dispatch, subject to prior agreement.
5. Cancellation & Default
If full advance payment is not received within the validity period of a quotation or proforma invoice, Vishal Global Exports reserves the right to cancel the order without prior notice. In case of default after partial advance has been received, the Company reserves the right to forfeit the advance amount as liquidated damages, without prejudice to any other remedy available in law.
6. Governing Law & Jurisdiction
These terms are governed by the laws of the Republic of India. Any disputes shall first be addressed through mutual negotiation, and if unresolved, shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Kolkata, West Bengal. The courts of Kolkata, West Bengal shall have exclusive jurisdiction.
7. Document Precedence
For the complete terms applicable to a specific transaction, please refer to the Quotation, Proforma Invoice, or Commercial Invoice issued for that order, which take precedence over this general page.
